Please read these Terms and Conditions ("Terms," "Terms and Conditions") carefully before registering on our website at https://www.cinepromatica.com/ (the "Site") and using the project management and content creation services ("Services") provided by CineProMatica ("us," "we," or "our").

Your access to and use of the Services is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Services.

By accessing or using the Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.

1. Definitions

  • "Services": Refers to the project management and content creation services offered by CineProMatica through the Site.

  • "Site": Refers to the website located at https://www.cinepromatica.com/.

  • "User," "You," "Your": Refers to the individual or entity registering for and using the Services.

  • "We," "Us," "Our," "CPM": Refers to CineProMatica, a company registered under the laws of The Netherlands, with its registered address at [Your Company Address].

2. Account Registration and Eligibility

2.1. To access and use our Services, you must register for an account on the Site.

2.2. You must be at least 18 years old to register for an account and use our Services. By registering, you affirm that you meet this age requirement.

2.3. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2.4. You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.

3. Services Description

3.1. We provide various project management and content creation services, which may include, but are not limited to:

  • Project Management Consulting: Offering expert guidance and personalized solutions to address specific business challenges and achieve organizational goals.

  • Delivering Complex Projects: Leveraging extensive experience to deliver complex projects on time, within scope, and budget.

  • Tailored Project Solutions: Providing solutions specifically designed to meet unique business needs.

  • Video Editing: Transforming raw footage into compelling narratives, ensuring seamless transitions, high-quality visuals, and lasting impact.

  • Animation: Creating explainer videos, product ads, and other animations to simplify complex ideas, educate, and inspire.

  • Visuals and Narratives (General Content): Delivering impactful visuals and narratives tailored to captivate target audiences and elevate brand presence, suitable for various platforms.

3.2. Specific details, deliverables, pricing, and timelines for each service will be outlined in a separate service agreement, proposal, or order form agreed upon between you and CineProMatica. These separate documents will form an integral part of your engagement with us.

3.3. We reserve the right to modify or discontinue any aspect of the Services at any time without prior notice.

4. Fees and Payment

4.1. All fees for our Services will be clearly stated in the respective service agreement, proposal, or order form.

4.2. Unless otherwise specified, all fees are quoted in EUR and are exclusive of applicable taxes (e.g., VAT).

4.3. Payment terms will be specified in the service agreement, proposal, or order form. We accept payments via credit card (via secure payment gateway).

4.4. You agree to pay all invoices by the due date. Overdue payments may be subject to interest at the rate of [Specify interest rate, e.g., 8%] per annum, or the maximum rate permitted by law, calculated from the due date until the date of full payment.

4.5. We reserve the right to suspend or terminate access to our Services if payment is not received by the due date.

5. User Responsibilities and Conduct

5.1. You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Services by, any third party.

5.2. You are solely responsible for all content, data, and information that you upload, transmit, or otherwise make available through the Services ("User Content").

5.3. You warrant that you have all necessary rights and permissions to provide any User Content and that such User Content does not violate any third-party rights (including intellectual property rights or privacy rights) or any applicable laws.

5.4. You agree not to:

  • Upload or transmit any harmful, unlawful, defamatory, obscene, or otherwise objectionable content.

  • Attempt to gain unauthorized access to our systems or other users' accounts.

  • Interfere with or disrupt the integrity or performance of the Services or data contained therein.

  • Use the Services for any fraudulent or illegal activity.

  • Impersonate any person or entity.

6. Intellectual Property Rights

6.1. All intellectual property rights in the Site and the Services (excluding User Content), including but not limited to copyrights, trademarks, service marks, logos, and patents, are owned by CineProMatica or its licensors. You may not use any of our intellectual property without our prior written consent.

6.2. Upon full payment for our content creation services, you will be granted a non-exclusive, worldwide, and transferable license to use the final deliverables ("Created Content") for the purpose for which they were created. Unless otherwise agreed in writing, we retain the right to use the Created Content for our portfolio and promotional purposes.

6.3. You retain all intellectual property rights in your User Content. By submitting User Content, you grant CineProMatica a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with providing the Services to you.

7. Confidentiality

7.1. Both parties agree to keep confidential all non-public information received from the other party in connection with the Services, including but not limited to business plans, financial information, customer data, and proprietary technologies ("Confidential Information").

7.2. Confidential Information shall not include information that:

  1. is or becomes publicly available through no fault of the receiving party;

  2. was known to the receiving party prior to its disclosure by the disclosing party;

  3. is rightfully obtained by the receiving party from a third party without restriction on disclosure; or

  4. is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.

7.3. This confidentiality obligation will survive the termination of these Terms.

8. Disclaimer of Warranties

8.1. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, express or implied, regarding the Services, including but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

8.2. We do not warrant that:

  1. the Services will be uninterrupted, secure, or available at any particular time or location;

  2. any errors or defects will be corrected;

  3. the Services are free of viruses or other harmful components; or

  4. the results of using the Services will meet your requirements.

9. Limitation of Liability

9.1. In no event shall CineProMatica, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from

  1. your access to or use of or inability to access or use the Services;

  2. any conduct or content of any third party on the Services;

  3. any content obtained from the Services; and

  4. unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

9.2. Our total liability to you for any and all claims arising out of or relating to these Terms or the Services shall not exceed the amount you paid to us for the Services in the six (6) months preceding the event giving rise to the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless CineProMatica and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of

  1. your use and access of the Services, by you or any person using your account and password;

  2. a breach of these Terms; or

  3. your User Content.

11. Termination

11.1. We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

11.2. If you wish to terminate your account, you may simply discontinue using the Services or contact us at info@cinepromatica.com.

11.3. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Jurisdiction

12.1. These Terms shall be governed and construed in accordance with the laws of The Netherlands, without regard to its conflict of law provisions.

12.2. Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be exclusively settled by the courts of The Netherlands.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

14. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

15. Entire Agreement

These Terms, together with any service agreements, proposals, or order forms agreed upon, constitute the entire agreement between you and us regarding our Services and supersede and replace any prior agreements, oral or otherwise, regarding the Services.

16. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 (thirty) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
